I. The Parties. This Volunteer Non-Disclosure Agreement, referred to as the “Agreement”, applies to the signatory of this individual form, referred to as the “Volunteer”, associated with and/or involved in the activities or affairs of The Africa International Film Festival, holding in Lagos, Nigeria from November 5, 2023 to November 11, 2023 referred to as the “AFRIFF”, with both the Volunteer and AFRIFF collectively referred to as the “Parties”. II. Volunteer. Volunteers support the organization of the Festival, and assist in venue management during the Festival. All volunteers are required to attend a General Orientation and to work at least 8-hours each day during the seven-day Festival. Rewards include free passes to designated festival events including some film screenings and a stylish volunteer t-shirt. “The Volunteer” is performing services for AFRIFF without promise, expectation or receipt of compensation for services rendered, and in the process may be exposed to Confidential Information (as defined below). This Agreement is intended to prevent the unauthorized disclosure of Confidential Information. Check here to confirm that you understand, agree with and will uphold these terms.

III. Confidential Information. “Confidential Information” is proprietary information relating to AFRIFF’s business including but not limited to: business and financial records, guest lists, intellectual property, proprietary data, security measures, new products or services, forecasts or any other proprietary business information that, if disclosed, could affect the business of AFRIFF. All data, materials, knowledge and proprietary information generated through, originating from, or having to do with the AFRIFF or persons associated with its activities, including but not partners, sponsors, filmmakers, celebrities, security agencies, contractors is to be also considered Confidential Information and is not to be disclosed to any outside party. This includes, but is not limited to, documents, information, designs, printed matter, policies, procedures, conversations, messages (received or transmitted), resources, contacts, e-mail lists, e-mail messages, whether internally between staff or outside the AFRIFF or/and the AFRIFF Volunteer Program is confidential and the sole property of AFRIFF and the AFRIFF Volunteer Program. IV. Non-Disclosure. Without AFRIFF’s or/and the AFRIFF Volunteer Program’s prior written consent, Volunteer will not: (a) disclose Confidential Information to any third party; (b) make or permit to be made copies or other reproductions of Confidential Information; or (c) make any commercial use of Confidential Information. V. Damages. Any disclosure, misuse, copying or transmitting of any material, data or information, whether intentional or unintentional, will subject Volunteer to disciplinary action, prosecution, and/or monetary damages according to the procedures set by AFRIFF and any applicable laws. VI. Return of Confidential Materials. Upon AFRIFF’s request, Volunteer shall immediately return all original materials provided by AFRIFF and any copies, notes or other documents in Volunteer’s possession pertaining to Confidential Information. VII. Term of Agreement. This Agreement and Volunteer’s duty to hold Confidential Information in confidence shall remain in effect until November 15th, 2023 or until whichever of the following occurs first: (a) AFRIFF sends Volunteer written notice releasing it from this Agreement, or (b) Confidential Information disclosed under this Agreement ceases to be confidential. VII. General Provisions (a) Severability. If a court finds any provision of this Agreement invalid or unenforceable, the remainder of this Agreement shall be interpreted so as best to effect the intent of the parties. (b) Integration. This Agreement expresses the complete understanding of the parties with respect to the subject matter and supersedes all prior proposals, agreements, representations and understandings. This Agreement may not be amended except in a writing signed by both parties. (c) Waiver. The failure to exercise any right provided in this Agreement shall not be a waiver of prior or subsequent rights.
